Founder: Refers to any User who creates a profile to seek investment or share information about their business.
Investor: Refers to any User who creates a profile to source, manage, or invest in companies listed on the Platform.
Services: Refers to the features, functionalities, and tools provided through the Covalent Platform, including deal management, portfolio tracking, investor relations, and data room features.
Content: Refers to any data, text, images, files, or other materials uploaded, posted, or shared by Users on the Platform.
Data Room: Refers to the secure space where Users can share and access confidential documents.
Confidential Information: Refers to non-public, proprietary information shared between Users on the Platform.
2. Acceptance of Terms
You are at least 18 years old and have the legal capacity to enter into this Agreement.
If you are acting on behalf of an entity (e.g., a corporation or investment fund), you have the authority to bind that entity to this Agreement.
You agree to comply with all applicable laws and regulations in connection with your use of the Platform.
3. Modifications to Terms
Covalent reserves the right to modify or revise these Terms of Service at any time, in its sole discretion. We will notify you of any changes by updating the date at the top of this Agreement. Your continued use of the Platform after such modifications constitutes your acceptance of the new terms. If you do not agree to the revised terms, you must stop using the Platform.
4. Account Registration and Security
Account Creation: To access certain features of the Platform, Users must create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information as necessary.
Account Security: You are responsible for maintaining the confidentiality of your account credentials. You agree to immediately notify Covalent of any unauthorized use of your account or any other breach of security.
Multiple Accounts: Users may not create more than one account unless expressly permitted by Covalent.
5. User Responsibilities
Compliance with Laws: You agree to comply with all applicable laws, including securities laws, data protection laws, and intellectual property laws.
Prohibited Activities: You agree not to engage in the following activities:
Misrepresenting your identity, affiliations, or credentials.
Uploading or distributing malicious code, viruses, or other harmful software.
Attempting to interfere with the security, integrity, or proper functioning of the Platform.
Using the Platform for any unlawful purpose, including fraud or money laundering.
Confidentiality: As a condition of your use of the Platform, you agree to maintain the confidentiality of any information, documents, or data that you receive or access through the Platform.
6. Services and Features
Covalent offers a suite of services and features designed to facilitate collaboration and data-sharing between founders and investors. These include:
Deal Management: The Platform provides tools for investors to manage deal pipelines, review company profiles, and collaborate with team members.
Portfolio Oversight: Investors can track and manage their portfolios in real-time.
Fundraising for Founders: Founders can create dynamic profiles, manage investor relations, and share confidential information through secure digital data rooms.
Secure Digital Data Rooms: Founders and investors may upload documents to data rooms.
Communication Tools: The Platform enables messaging and email templates for effective communication between founders, investors, and other stakeholders.
7. Payment and Subscription Terms
Subscription Fees: Certain features of the Covalent Platform may be subject to subscription fees. Users agree to pay all fees specified during the registration or subscription process.
Payment Information: You agree to provide accurate billing information and authorize Covalent to charge the applicable subscription fees to your designated payment method.
Refund Policy: Subscription fees are non-refundable unless otherwise stated in writing by Covalent.
Late Payments: If a payment is not received on time, Covalent reserves the right to suspend or terminate your access to the Platform.
8. Intellectual Property
Platform Ownership: Covalent and its licensors retain all intellectual property rights in the Platform, including its design, software, and content (except for User Content).
User Content: You retain ownership of the content you submit to the Platform, but you grant Covalent a non-exclusive, royalty-free license to use, store, display, and distribute your content.
Trademarks: The Covalent name, logo, and related trademarks are the property of Covalent. Unauthorized use of these trademarks is prohibited.
9. Data Privacy
Covalent is committed to protecting User data. Please refer to our Privacy Policy for details on how we collect, use, and protect your personal information.

11. Limitation of Liability
Covalent, its affiliates, directors, officers, employees, and agents will not be liable for any indirect, consequential, special, or incidental damages arising from your use of the Platform, including but not limited to lost profits, data breaches, or business interruptions.
Any loss or damage resulting from unauthorized access to or use of your account.
Any errors, omissions, or inaccuracies in the content provided by Users or third parties on the Platform.
12. Indemnification
You agree to indemnify and hold Covalent harmless from any claims, damages, liabilities, or expenses arising from your use of the Platform, including any violation of this Agreement, applicable laws, or the rights of third parties.
13. Termination
User Termination: You may terminate your account at any time by contacting Covalent at [contact information]. Upon termination, your account will be deactivated, but certain data may be retained in accordance with our Privacy Policy.
Covalent’s Right to Terminate: Covalent reserves the right to suspend or terminate your account if you violate this Agreement or engage in unlawful activities. Covalent will provide notice of termination where possible.
